1. Introduction

The following Terms and Conditions document governs the sale and purchase of products between the wholesaler ("you") and The Vintage Grooming Company, LLC & Death Grip Wax ("us"/"we"/"our"). By purchasing from us, you agree to these Terms and Conditions.

2. Acceptance of Terms

These Terms are binding on any purchase made by you and apply to you from the time that we provide you with a quote. We may change these Terms from time to time, and the Terms that apply to any Order are those that you agree to when an Order is placed.

3. Registration

In order to start purchasing products from us, you are required to complete the registration process and to be approved by us. Your account is not transferable. You are responsible for all transactions made with your account.

4. Prices

All prices quoted are exclusive of any applicable taxes. You agree to pay the stated price for the Products, and to pay the amount of any applicable taxes in relation to your Order.

5. Ordering Products

The Order shall be detailed with the items, quantities, and proposed delivery dates. All Orders are subject to our acceptance.

6. Delivery

We will use reasonable efforts to deliver the products to you as quickly as possible, but we will not be liable for any delay in delivery.

7. Payment Terms

All invoices issued by The Vintage Grooming Company, LLC & Death Grip Wax are payable within 30 days from the date of the invoice, unless otherwise agreed in writing.

8. Returns Policy

No returns will be accepted unless the product is defective or the return has been pre-authorized by us. Any authorized return must be in its original packaging and accompanied by proof of purchase.

9. Restrictions on Resale

As a wholesaler of The Vintage Grooming Company, LLC & Death Grip Wax products, you are explicitly prohibited from selling any of our products online on any websites other than your own. This prohibition extends to, but is not limited to, platforms such as Amazon (including Amazon International), Walmart, eBay, Jet, Facebook, Etsy, Pinterest, Instagram, TikTok, and any other similar websites. Additionally, you are not permitted to sell our products on your site at a price lower than that listed on DeathGripWax.com. For international websites operating outside of the USA, it is required that the conversion pricing be equivalent to or higher than the pricing on DeathGripWax.com. The purpose of the wholesale agreement is primarily for offline retail sales or sales through your personal website, adhering to the stipulations mentioned above. Violations of this policy may lead to the immediate termination of your wholesale account and possible legal action.

10. Termination

We reserve the right to terminate your account if you breach these Terms and Conditions. If we terminate your account, you must immediately cease selling our products.

11. Indemnity

You will indemnify and hold harmless The Vintage Grooming Company, LLC & Death Grip Wax and its representatives from any loss or damage suffered or incurred in connection with your breach of these Terms or any wrongful act or omission by you in relation to the resale of our products.

12. Governing Law

These Terms are governed by the laws in effect in the jurisdiction in which you are located and you submit to the non-exclusive jurisdiction of the courts in that jurisdiction.

13. Entire Agreement

These Terms, together with The Vintage Grooming Company, LLC & Death Grip Wax Privacy Policy and any other legal notices or directives published by us on our website, constitute the entire agreement between you and The Vintage Grooming Company, LLC & Death Grip Wax relating to your purchase of products for resale.
